These Terms of Service ("Terms") govern your access to and use of all Workbeam software, features, products, and services, including the Workbeambrowser extension, desktop application, mobile application, dashboard, website, and any related tools or interfaces (collectively, the "Services").

By downloading, installing, enabling, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Acceptance of Terms

By using the Services, you confirm that:

  • You have read, understood, and agree to these Terms.
  • You have the authority to enter into this agreement.
  • You understand that your use of the Services constitutes your acceptance of the Workbeam Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree, do not access or use the Services.

2. Eligibility

You may use the Services only if:

  • You are at least the age of majority in your jurisdiction; and
  • You have the legal authority to install and use software on the device or environment where the Services operate.

You represent and warrant that you meet these eligibility requirements.

3. License to Use the Services

Workbeam grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Services solely for your own purposes.

Workbeam may modify, suspend, or discontinue the Services at any time, without prior notice and without liability.

4. User Responsibilities

You agree that you will:

  • Use the Services in compliance with applicable laws.
  • Ensure you have all necessary permissions to install and use the Services in your environment.
  • Not interfere with, disrupt, or attempt to circumvent any functionality of the Services.
  • Not use the Services to reverse engineer, copy, or extract proprietary components.

You are solely responsible for your use of the Services and for obtaining any permissions required from your organization, employer, or administrator.

5. Data Collection and Processing

Our collection and processing of personal data, including data accessed through connected Google accounts, is governed by the Workbeam Privacy Policy.

The Privacy Policy explains how Workbeam:

  • Collects Data
  • Uses Data
  • Shares and discloses Data
  • Transfers Data
  • Retains Data

By using the Services, you acknowledge the data practices disclosed in the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy controls for data handling.

6. User Content

Any text, inputs, interactions, actions, or other materials you submit, generate, or interact with through the Services ("User Content") may be:

  • accessed, processed, and analyzed by Workbeam;
  • used to operate, develop, improve, and enhance the Services;
  • stored and retained by Workbeam;
  • used to create insights, derivative outputs, or features.

You grant Workbeam a limited, non-exclusive license to process User Content as needed to operate, secure, and provide the Services. Data obtained through Google APIs is handled subject to the Privacy Policy and applicable Google API terms.

7. Updates and Modifications

Workbeam may release updates, patches, enhancements, or new versions of the Services.

Workbeam may update these Terms at any time.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

8. Third-Party Services

The Services may interact with or depend on third-party services, websites, APIs, or integrations.

Workbeam is not responsible for:

  • the availability, security, or functionality of third-party services;
  • data practices of third-party services;
  • damages arising from third-party integrations.

Your use of third-party services is governed by the terms and policies of those providers.

9. Intellectual Property

All intellectual property rights in the Services, including software, models, interfaces, features, text, design, branding, and documentation, are and remain the exclusive property of Workbeam or its licensors.

You may not:

  • copy, reproduce, distribute, modify, or create derivative works;
  • reverse engineer or decompile the Services;
  • remove or alter copyright notices or proprietary markings.
10. Prohibited Activities

You agree not to:

  • use the Services for unlawful purposes;
  • attempt to circumvent functionality or access restricted parts of the Services;
  • interfere with or disrupt the Services;
  • use automated systems (bots, scrapers, etc.) without explicit permission;
  • use the Services in violation of organizational policies or local laws.

Workbeam may terminate or restrict access if prohibited behavior is detected.

11. Disclaimers

To the fullest extent permitted by law:

  • The Services are provided "as is" and "as available".
  • Workbeam makes no warranties, express or implied, regarding:
    • functionality
    • accuracy
    • reliability
    • fitness for a particular purpose
    • availability
  • Workbeam does not guarantee that the Services will be error-free, uninterrupted, or secure.

Your use of the Services is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Workbeam is not liable for indirect, incidental, consequential, exemplary, punitive, or special damages.
  • Workbeam's total aggregate liability for all claims relating to the Services will not exceed USD $100, regardless of legal theory.

These limitations apply to:

  • data loss
  • system failures
  • service interruptions
  • errors or omissions
  • reliance on outputs or insights
  • integration or interoperability issues
  • damages to hardware or software

Some jurisdictions may not allow certain limitations; in such cases, limitations apply to the fullest extent permissible.

13. Indemnification

You agree to indemnify, defend, and hold harmless Workbeam, its affiliates, and its partners from any claims, liabilities, damages, losses, or expenses arising from:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of applicable laws or policies;
  • disputes related to your environment, employer, or third parties.
14. Termination

Workbeam may suspend or terminate your access to the Services at any time, with or without notice, for any reason or no reason.

Upon termination, the following survive:

  • Rights needed to enforce these Terms
  • Disclaimers
  • Limitation of liability
  • Indemnification
  • Any other provision intended to survive termination

Personal data retention and deletion after termination are governed by the Privacy Policy and applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by laws applicable to Workbeam's operations, without regard to conflict-of-law principles.

Any disputes arising under these Terms will be resolved exclusively through confidential binding arbitration or other dispute processes designated by Workbeam.

You waive any right to participate in class actions or class-wide claims.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Workbeam regarding your use of the Services and supersede all prior understandings.
